Notes General Shareholder Meeting - May 2023

General Shareholder Meeting - June 21, 18:00

Dear shareholder,

We hope this email finds you well. We would like to express our sincere gratitude to all the shareholders who attended the General Shareholder Meeting held on the 25th of May, both in person and online. Your presence and active participation contributed to a fruitful discussion on various important matters concerning our company.

Please find the notes of this meeting in a separately shared message.

During the meeting, we had planned to vote on four topics:
1. Vote on the annual report
2. Discharge of management
3. Abolishment of the quorum of 100%
4. Designation of a representative for the minority shareholders

However, due to the absence of some shareholders, we were unable to achieve the necessary 100% attendance required for official voting on these topics. We understand that conflicts and unforeseen circumstances can arise, leading to difficulties in attending the meeting. As a result, we have decided to organise a new General Shareholder Meeting on June 21st at 18 pm, in which we vote on the first three topics:

1. Vote on the annual report
2. Discharge of management
3. Abolishment of the quorum of 100% - view proposal attached

This upcoming meeting will be conducted online to ensure maximum accessibility for all shareholders.

Invitation to our General Shareholder meeting on May 25th - 15:00 thru 17:30

Dear Shareholders,

Big news, for the first time we will do a live shareholder meeting on location!

We are excited to invite you to our upcoming Shareholders Meeting on May 25, 2023, at our office on Kuipersstraat 37h in Amsterdam from 15:00 thru 17:30.

We’re going to do three things:
- Discuss the annual report which will be published by the end of April
- Vote on subjects as discharge of the board for 2022 and shareholder quorum
- We will celebrate that we became a B-Corp!!

During the first part of the meeting, we will provide an overview of the year-end financials, funding, product development, marketing, sales, customer success, and HR.

We’ll also hold a vote to approve our annual report.In the second part, we’ll give an update on the progress we’ve made on the same subjects during the first quarter 2023. Furthermore we will present other agenda items which would request a vote.

Extra information will be sent ultimately two weeks before the meeting.

Finally, we’ll celebrate a big achievement - Share Council became B Corp certified! We are super proud of this achievement. While enjoying some drinks and snacks, we will share our experiences and tips on how to become a B Corp.
